Mobile Application Terms and End User License Agreement (EULA)

This section applies specifically to your download and use of the Thrive Autism Coaching App on a mobile device obtained through the Apple App Store or the Google Play Store, and forms part of these Terms.

License Grant and Scope

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App, in object code form only, on any Apple-branded product or Android-branded device that you own or control, solely for your own personal, non-commercial use, and subject to the usage rules set forth in the applicable App Store Terms of Service (for iOS) or Google Play Terms of Service (for Android). You may not copy, decompile, reverse engineer, disassemble, rent, lease, sell, distribute, modify, or create derivative works of the App, in whole or in part, except as expressly permitted by applicable law.

Objectionable Content and Abusive Users — Zero-Tolerance Policy

The App may allow you to interact with coaches, staff, or other users, including through community features, messages, comments, or session content ("User Content"). You agree not to submit, post, transmit, or otherwise make available through the App or Website any content that is defamatory, obscene, pornographic, abusive, harassing, threatening, hateful, discriminatory, or otherwise illegal, offensive, or violates the rights of any third party ("Objectionable Content"), and you agree not to engage in abusive, harassing, or threatening conduct toward us, our staff, coaches, or other users.

We have zero tolerance for Objectionable Content and for abusive users. We reserve the right, in our sole discretion and without prior notice, to:

review, monitor, filter, and remove any Objectionable Content;
suspend or terminate the account or access of any user who posts Objectionable Content or engages in abusive conduct; and
block or restrict access by, and report, abusive users, where appropriate.

If you encounter Objectionable Content or an abusive user within the App, please report it to us immediately at admin@thriveautismcoaching.com or +1 (720) 282-9921. We will review reports promptly and take appropriate action, which may include removing the content and/or terminating the offending user’s access.

Maintenance and Support

As between you and us, we are solely responsible for providing any maintenance and support services with respect to the App, to the extent required under applicable law. Apple Inc. (“Apple”) and Google LLC (“Google”) have no obligation whatsoever to furnish any maintenance or support services with respect to the App.

Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google, as applicable, and Apple or Google will refund the purchase price for the App to you, if any. To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility, as between us and Apple or Google.

Product Claims

We, not Apple or Google, are responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Claims

In the event of any third-party claim that the App, or your possession and use of the App, infringes that third party’s intellectual property rights, we, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

Legal and Export Compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist-supporting” country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary

You acknowledge and agree that this Agreement is between you and Thrive Autism Coaching, Inc. only, and not with Apple or Google. Apple, Google, and their respective subsidiaries are third-party beneficiaries of this section of these Terms, and, upon your acceptance of these Terms, Apple and Google will each have the right (and will be deemed to have accepted the right) to enforce this section against you as a third-party beneficiary of these Terms.

Questions or complaints about the App may be directed to Thrive Autism Coaching, Inc. at admin@thriveautismcoaching.com, in addition to any mechanism offered by the applicable app store.

Governing Law, Severability, Dispute Resolution And Venue

These Terms shall be governed and construed in accordance with the laws of the state of Colorado, United States, without regard to its conflict of laws provisions. THESE TERMS SHALL NOT BE GOVERNED BY THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE SALE OF INTERNATIONAL GOODS, THE UNIFORM COMMERCIAL CODE, NOR INCOTERMS.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and us regarding our Website and the App, and supersede and replace any prior agreements we might have had with you regarding the Website and the App.

Any controversy or claim arising out of or relating to these Terms, including but not limited to the interpretation or breach thereof, shall be resolved in a court of competent jurisdiction in Jefferson County, Colorado.

YOU AND THRIVE AUTISM COACHING, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

Changes To Terms Of Service

We reserve the right to make changes to these Terms of Service at any time. We will not provide you with any notice when we make changes to this Terms of Service.
